1. About these terms

These Website Terms of Use apply to your use of properweb.com.au (the Website), operated by Proper Web Co., a registered Australian business name operated by a sole trader.

By accessing or using the Website, you agree to these terms. If you do not agree, you should stop using the Website.

2. Website information is general

The Website provides general information about Proper Web Co., our website design and related services, examples of our work, pricing and ways to contact us. We try to keep information accurate and current, but website content is general information and may change without notice.

Information on the Website is not legal, accounting, tax or other professional advice.

3. Pricing and availability

Where a price is displayed, it is stated in Australian dollars and includes GST unless the Website clearly says otherwise. Published packages, inclusions, turnaround estimates and availability may change from time to time.

A displayed price does not by itself create a contract. The scope, price and timing for a specific project are confirmed through our quote, client agreement and any agreed written variations.

4. Enquiries do not create a project

Submitting an enquiry, quote request or contact form does not oblige you to purchase services and does not oblige Proper Web Co. to accept a project. A project begins only when the required commercial terms have been agreed and any required deposit has been paid.

5. Client projects are governed separately

Website design, development, hosting, maintenance and other paid services are governed by the accepted quote, the Proper Web Co. client agreement, any applicable Proper Care terms and any written variations agreed for that project.

If there is an inconsistency between these Website Terms of Use and a signed or accepted client agreement relating to paid services, the client agreement will govern the project to the extent of the inconsistency.

6. Intellectual property

Unless otherwise stated, the Website and its original content, layout, branding, graphics, written material and other materials created for Proper Web Co. are owned by or licensed to Proper Web Co. and are protected by applicable intellectual property laws.

You may view and use the Website for ordinary personal or business evaluation purposes. You must not reproduce, republish, sell, scrape, distribute, modify or commercially exploit substantial parts of the Website or our branding without permission, except where permitted by law.

Client logos, trade marks, screenshots and project materials shown in our portfolio remain the property of their respective owners. Their display does not transfer ownership to Proper Web Co. or to Website visitors.

7. Acceptable use

You must not use the Website to:

• break any applicable law or infringe another person's rights;
• attempt to gain unauthorised access to the Website, server, accounts or connected systems;
• introduce malicious code, automated abuse, denial-of-service traffic or other harmful material;
• use forms or contact channels for spam, harassment, fraudulent enquiries or unlawful content; or
• scrape, harvest or systematically extract Website content or contact information in a way that is unlawful or unreasonably interferes with the Website.

8. Portfolio and case studies

Examples, screenshots and case studies are provided to demonstrate our work and design approach. Results achieved by one business do not guarantee that another business will achieve the same traffic, rankings, leads, revenue or commercial outcome.

9. Search rankings and business outcomes

We may describe SEO foundations, performance optimisation, analytics or related website practices. Search engines, advertising platforms, customer behaviour and business performance are affected by factors outside our control. Unless expressly agreed in writing, we do not guarantee a particular search ranking, traffic level, enquiry volume, sales result or revenue outcome.

The Website may contain links to third-party websites or use services provided by third parties. Those services are controlled by their respective providers. We are not responsible for third-party content, availability, security, terms, privacy practices or changes to their services.

11. Website availability and security

We aim to keep the Website available and functioning properly, but we do not guarantee uninterrupted or error-free access. Maintenance, hosting incidents, internet failures, security events or circumstances outside our reasonable control may temporarily affect availability.

Any liability relating to paid client services is dealt with under the relevant client agreement and applicable law.

Our handling of personal information is described in our Privacy Policy, available on properweb.com.au. By submitting information through the Website, you acknowledge that we will handle it in accordance with that policy and applicable law.

14. Changes to the Website or these terms

We may update the Website and these Terms of Use from time to time. The current version will be published on properweb.com.au with an updated effective date. Continued use of the Website after an update means the updated terms apply to future use of the Website.

15. Governing law

These Terms of Use are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts and tribunals of New South Wales and any courts entitled to hear appeals from them.
